Terms of Use
Last updated 2026-09-29
1. Who we are
Section titled “1. Who we are”This website and the Coffer app are operated by Blockroad d.o.o., registered in Croatia under number 66566698686. In these terms, “we” and “us” mean that company, and “you” means the person using the site or the app.
2. What these terms cover
Section titled “2. What these terms cover”These terms apply to the website at coffer.bond, the app we link to from there, and the documentation at docs.coffer.bond, along with any other address we publish for the same service. By using any of them you agree to these terms. If you do not agree, do not use them.
3. What Coffer is
Section titled “3. What Coffer is”Coffer is a set of smart contracts on Ethereum. Validators use the contracts to issue and sell bonds against their staked ETH. Holders buy those bonds, hold them as NFTs, and can transfer or sell them. The terms of each bond, the fees and the payments are written into the contracts and run on the network.
We do not hold your funds. We do not take custody of your ETH, your keys or your bond NFTs. Every transaction is signed by you in your wallet and executed by the network. We cannot reverse, cancel or change a transaction, and we cannot recover funds sent to a wrong address. A bond is a claim on the validator’s stake, enforced by the contract. It is not a claim against us.
The contracts are not ours to control. Each Coffer is deployed and owned by the address that created it, and the contracts do not check that this address controls the validator it names. What ties a Coffer to a validator is the validator’s withdrawal credentials on the consensus layer, which must point at the Coffer, and that check is yours to make before you buy. The contracts cannot be upgraded or altered after deployment. They are permissionless, they work without our app, and anyone can build their own interface or their own marketplace against them. We are not involved in any interface or marketplace that someone else builds, we do not endorse or monitor them, and we are not responsible for them. Deciding whether to trust one is yours alone. If we operate a validator or hold a bond ourselves, we do so as a user of the contracts on the same terms as anyone else.
Where the site, the app or the documentation says “we” or “our” about the protocol, that is a way of speaking and not a claim of ownership or control over the contracts.
The app is one way to reach the contracts. It is a website that reads the state of the contracts and prepares transactions that your wallet signs. It is not the only way, and using it is not required to use the contracts.
4. Buying and selling bonds between users
Section titled “4. Buying and selling bonds between users”A listing or an offer is a message you sign, not a transaction. Signing costs nothing and puts nothing on the blockchain. Before we publish an offer we check it the way the contracts will check it when someone accepts it, and we refuse one that would fail. We keep at most one live listing and one live offer per bond from each user.
The holder of a bond decides which offer to accept, if any, and on whatever basis they choose. Nothing is matched, ranked or executed by us. The accepting party sends that transaction themselves. An offer is withdrawn by cancelling it on-chain.
Signed offers are stored off the blockchain. We store the signed messages that represent listings and offers on our own servers. We also stop showing an offer when something changes that means it could no longer be accepted. We give no warranty that a stored offer will remain available, and we are not liable for any loss arising from one becoming unavailable.
5. Who may use the service
Section titled “5. Who may use the service”You may use the service only if you are of legal age in the place where you live and have full legal capacity to agree to these terms. You also confirm that you understand how Ethereum staking and smart contracts work well enough to judge what you are buying. Buying a bond means checking the validator behind it yourself, on both the execution and the consensus layer. Nobody does that for you.
You may not use it if you are on a sanctions list, or if you are located in or a resident of a country or territory under sanctions that apply to us. You are responsible for knowing which laws apply to you, including tax laws.
6. Your wallet and your responsibility
Section titled “6. Your wallet and your responsibility”You connect to the app with a wallet you control. You are responsible for that wallet, its keys, and everything signed with it. Read every transaction before you confirm it, because a confirmed transaction cannot be undone.
7. Fees
Section titled “7. Fees”The contracts charge fees. A protocol fee is taken when a bond is bought. A marketplace fee is paid by the buyer on a completed trade, on the difference between the bond’s maturity value and the price, and there is none when the price is at or above the maturity value. Both rates are fixed in the contracts and cannot be changed. The documentation sets out the full fee schedule. Signing an offer costs nothing. You also pay the network’s transaction fees.
8. Risk
Section titled “8. Risk”Using the contracts carries real risk, and you accept that risk when you use them. The Risk Disclosure sets out how you can lose money, for holders and for validators alike, and forms part of these terms. Read it before you use the contracts. There is no insurance, no compensation scheme and no guaranteed outcome. Only use funds you can afford to lose.
9. No advice, no endorsement
Section titled “9. No advice, no endorsement”Nothing on the site or in the app is financial, investment, legal or tax advice. We do not review, rate, recommend or endorse any validator, Coffer or bond, and a Coffer appearing in the app is not an endorsement of it. Every transaction you make is your own decision, and we owe you no fiduciary duty. The only duties we owe you are the ones written in these terms.
You reach your own conclusions. Before you buy a bond you decide for yourself whether the validator behind it, the backing it holds and the terms it offers are acceptable. You are not relying on anything we have said, shown or left out, beyond what these terms state.
10. What you may not do
Section titled “10. What you may not do”You may not use the site or the app to break the law or to harm others. That includes market manipulation, fraud or misrepresentation, attacking or interfering with the site, the app or the network, evading sanctions, infringing anyone’s intellectual property, and scraping or bulk extraction of our data.
11. Reporting a security problem
Section titled “11. Reporting a security problem”If you find a flaw in the contracts or the app, tell us before you tell anyone else, through the contact form on blockroad.hr. We will not pursue anyone who reports in good faith, tests only against their own funds, and gives us reasonable time to respond. The contracts cannot be upgraded and there is no emergency stop, so telling us early matters more here than in systems that can be patched.
12. Content, code and licences
Section titled “12. Content, code and licences”The Coffer contracts and the marketplace contract are published on GitHub, at github.com/blockroad-doo/coffer-smart-contracts and github.com/blockroad-doo/coffer-marketplace, under the Business Source License 1.1, set out in each repository. It lets you copy, change and redistribute the code and use it for anything except production use, and it turns into the MIT licence on 2030-09-01. The whitepaper is published on GitHub, at github.com/blockroad-doo/coffer-whitepaper, under the Creative Commons Attribution-NoDerivatives 4.0 International licence, which lets you share it unchanged, with credit. The website, the app and the server behind the app are run by us and their source is not published. Apart from the whitepaper, the text, design and code of the site and the app belong to us and may not be copied or reused without our written permission.
You may use the site and the app to read the state of the contracts and to send your own transactions. That permission is personal to you and can be withdrawn. It does not let you copy, resell or build on the site or the app.
COFFER is our trade mark.
13. No warranty
Section titled “13. No warranty”The site, the app and the contracts are provided as they are and as available. We give no warranty of any kind, expressed or implied, including about accuracy, fitness for a purpose, availability or security. We can change, pause or stop the site, the app or our server at any time, and we can change which contracts the app connects to. The contracts on the network are not affected by that.
14. Limitation of liability
Section titled “14. Limitation of liability”To the extent the law allows, we are not liable for any loss that comes from using the site, the app or the contracts. This includes loss of funds, loss of profit, and loss caused by bugs, network failures, queue delays, wallet problems, third party services or your own mistakes. Where liability cannot be excluded by law, it is limited to the amount the law requires.
15. Indemnification
Section titled “15. Indemnification”You agree to hold us harmless from any claim, loss or expense, including reasonable legal costs, arising from your use of the site, the app or the contracts, from your breach of these terms, or from your violation of the law or of anyone else’s rights.
16. Third party services
Section titled “16. Third party services”The app relies on services run by others, including wallet software, hosting providers, RPC providers and block explorers. Those services have their own terms. We are not responsible for them.
17. Changes to these terms
Section titled “17. Changes to these terms”We can change these terms. The date at the top shows the current version. If you keep using the service after a change, the new terms apply to you.
18. Governing law and disputes
Section titled “18. Governing law and disputes”These terms are governed by the laws of Croatia. Any dispute is decided by the courts of Zagreb, unless the law where you live gives you a different right.
